How to negotiate usage rights
This page is not legal advice and is not a substitute for a lawyer. Have an attorney in your jurisdiction review any contract, licence, or rights grant before you sign.
Six scripts
Replace brackets with your actual percentages from the matrix. Send as one message, not a voice note.
They said “full usage included”
Name the cell“Full usage isn’t one product on my side. Organic posting on my channels is in the fee. Paid ads from your accounts for 90 days is +[X]%. Ads from my handle for 30 days is +[Y]%. Which of those do you need?”
Their contract says in perpetuity
Two numbers, no essay“I don’t sell perpetual paid media at the content fee. Option A: paid social 12 months, +[X]%. Option B: buyout, [3–5×]. Organic post can stay up either way.”
They want a cheaper Reel to “leave budget for ads”
Do not fund their media plan“The Reel fee is the Reel. Ads are a separate line so your media team can PO them. I can shorten the ad term to 30 days if the budget is tight — I won’t cut the production fee to subsidise spend.”
They added exclusivity in round two
Walk-away lock“I can hold [narrow category] for 30 days at +[Y]%. If we skip exclusivity, you’re free to book and I’m free to post other brands in the niche. I don’t freeze the category at $0.”
Agency: “our template isn’t negotiable”
Redline one paragraph“I can sign if clause [n] is replaced with: paid media [platforms], [territory], [N] days from first impression; no sublicense; no raws. Happy to work from your paper with that swap.” If they cannot swap one paragraph, they cannot pay you fairly either.
They already ran ads
Bill the cell“Ads ran from [date] in [placement]. That’s the paid-usage cell at [rate]. Invoice attached. Partner access is revoked today. Next deliverable starts when this clears or sits in a payment hold.”
Worked example: $900 Reel negotiation
| Their ask | Your counter | Dollars |
|---|---|---|
| “Full usage included” | Name cell: paid social 90d brand accounts | +$360 (40%) → $1,260 |
| “In perpetuity” | 12-mo paid OR buyout 4× | $720 add-on OR $3,600 buyout |
| “Exclusivity free” | 30-day narrow category | +$270 (30%) or skip lock |
| “Cut the Reel so ads fit” | Keep $900; shorten term 90→30 | Same % on shorter term |
Trade term/territory before content fee. Never discount the Reel to subsidise media.
What you can trade (in order)
1. Term
90 days → 30 days. Real concession. Keep the %.
2. Territory
Worldwide → home market. Real concession.
3. Identity
Whitelist → brand-account ads only. Cheaper cell, still paid.
4. Content fee
Last resort, and only if they dropped usage. Never both.
Walk without a speech
- They will not name platforms after two asks.
- Perpetual + raws + unpaid exclusive in one PDF.
- Pay after performance on a first collab.
- Password request to “boost” or run ads from your login.
Closing line: “I don’t have a SKU that matches that. If the brief fits a cell on the card, I’m in.” Then mute. Creators lose rights in the third paragraph of a friendly essay.

Usage negotiation questions
+What is the first thing I should ask when they want “full usage”?
“Which platforms, which advertiser identity (you vs me), which countries, and how many days?” Full usage is not a SKU. Make them point at a cell. Then send that cell’s price.
+How do I counter a perpetual clause in one sentence?
“I can do 12 months paid social at +[X]%, or a buyout at [3–5×]. Perpetuity at the Reel fee isn’t a term I sell.” Attach both numbers. Do not argue philosophy.
+Should I lower my content fee to win paid-rights budget?
No. They will take the cheap Reel and still argue the rights. Cut term (90 days → 30) or cut territory (worldwide → US) before you cut the post price.
+What is a walk-away line for unpaid exclusivity?
“I can lock [category] for 30 days at +[Y]% of the fee. I don’t reserve the category for free.” If they need the lock, they have budget. If they don’t, they never needed it.
+Can I accept a shorter term instead of a higher fee?
Yes. 30-day paid instead of 90-day is a real concession. “Same fee, all media, forever” is not a concession — it is a gift. Trade clocks, not your identity.
Put the cells on the card so DMs stay short
When usage and exclusivity are toggles with prices, negotiation is “which toggle”, not a thread. BlueRateCard does that, then holds payment on the platform until delivery. Free for creators.
